Terms of Use

1. Acceptance of Terms

By accessing or using UTM Mind (the “Service”), you agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use the Service. These terms apply to all users, including free and paid subscribers.

2. Description of Service

UTM Mind is an AI-powered UTM governance and marketing attribution platform. The Service provides tools for defining UTM naming conventions, generating validated UTM links, enforcing compliance rules, synchronizing tracking templates to Google Ads and Meta Ads, and verifying attribution data with Google Analytics 4. We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.

3. Account Security & Authentication

Authentication is handled by Clerk, a SOC 2 Type II certified identity platform. You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account.

UTM Mind will never ask for your password via email, chat, or any channel outside the official sign-in interface at utmmind.com.

4. OAuth Tokens & Third-Party Credentials

🔒 Our Absolute Commitment on Token Security

When you connect Google Ads, Meta Ads, or Google Analytics 4 to UTM Mind, we receive OAuth access tokens and refresh tokens from those platforms. We make the following absolute commitments regarding these credentials:

✓ Tokens are encrypted at rest using AES-256 encryption in our MongoDB Atlas database.
✓ Tokens are transmitted only over TLS 1.2+ encrypted connections.
✓ Tokens are never shared, sold, or disclosed to any third party except the originating platform API.
✓ Tokens are used exclusively to perform the actions you explicitly authorize within UTM Mind.
✓ You can revoke access at any time by disconnecting the integration from the Integrations page or from the respective platform's security settings.
✓ Tokens are permanently deleted from our systems within 30 days of account deletion or integration disconnection.

We request only the minimum OAuth scopes required to perform the functions you use. We do not request write access to your ad accounts unless you explicitly use the sync feature.

5. Privacy and Data Security

Your use of UTM Mind is subject to our Privacy Policy, which is incorporated into these Terms by reference. We are committed to protecting your data and respecting your privacy at every level of our infrastructure.

UTM Mind is hosted on Vercel (SOC 2 Type II) with data stored in MongoDB Atlas (ISO 27001, SOC 2). All data is stored in encrypted form and access is restricted to authorized personnel only.

6. Third-Party Integrations

UTM Mind integrates with Google Ads, Meta Ads, Google Analytics 4, and other platforms. By connecting these platforms, you agree to comply with their respective Terms of Service. UTM Mind is not responsible for any violations of third-party terms caused by your use of our Service, nor for any changes to third-party APIs that may affect Service functionality.

7. Acceptable Use

You agree not to use the Service to:

—Violate any applicable law or regulation.
—Infringe the intellectual property rights of any third party.
—Transmit malicious code, spam, or unauthorized advertising.
—Attempt to gain unauthorized access to any part of the Service or its infrastructure.
—Use the AI agent to generate content that violates platform policies of connected ad platforms.

8. Subscription, Billing & Refunds

Paid subscriptions are billed in advance on a monthly or annual basis. Subscription management and billing is handled by Clerk Billing. You may cancel your subscription at any time; access continues until the end of the current billing period.

Refunds are evaluated on a case-by-case basis. If you believe you were charged in error, contact us at hi@utmmind.com within 14 days of the charge.

9. Intellectual Property

The UTM Mind platform, including its design, code, AI models, and documentation, is the intellectual property of UTM Mind and its licensors. You retain ownership of all data you input into the Service. By using the Service, you grant UTM Mind a limited, non-exclusive license to process your data solely for the purpose of providing the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law, UTM Mind shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, advertising spend, or business opportunities, arising from your use of or inability to use the Service. Our total liability to you for any claim arising from these Terms shall not exceed the amount you paid to UTM Mind in the 12 months preceding the claim.

11. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes via email or an in-app notification at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

12. Climate Commitment

UTM Mind is committed to fighting climate change. We contribute a portion of our revenue to carbon removal through Stripe Climate. You can view our climate commitment and verified impact at climate.stripe.com/zDIV2J.
